Forming a company can be beneficial
but it does create additional administration.
Depending on the nature of your business and individual circumstances there can be some benefits to forming a company. But care is required as a company can easily mean increased administration or duties as a director and is not always appropriate.
Increased tax efficiency
It can be more tax efficient to operate through a company than as a sole trader. Also a company can provide more flexibility on how a shareholder may be paid e.g. through a combination of salary and dividends. Dividends are paid out of company profits after tax and attract lower tax rates than income tax. There also tends to be a wider range of tax deductible expenses and allowances available to companies versus individuals.

Protection of personal assets
Operating as a limited liability company means the company operates as a separate legal entity. This typically means that as a shareholder you are not personally liable for business losses. With some exceptions e.g. personal guarantees etc, this allows personal assets to be protected in the event that a company runs into financial difficulties or becomes insolvent. This differs from a sole trader who is personally liable for any business debts and losses..

Credibility and access to finance
Limited companies operate under tighter legal controls and have to provide more financial transparency than sole traders. This can help with access to finance and or credit for your business from financial institutions or suppliers. Operating as a company can encourage more credibility and trust from suppliers and potential customers. A company can also be useful when planning business continuity or expansion.
